1. Terms and Conditions
These terms and conditions (“Terms of Use”) form a legally binding agreement that governs access to and use of the software platform hosted by CareQuest Institute for Oral Health (“Institute”), including but not limited to our website, apps, APIs, widgets, connectors, any and all app updates, and any new features that augment or enhance the software platform (including the release of new versions, new modules, tools and resources) (collectively, the “Platform”).
Our Privacy Policy, website Terms and Conditions, and any other applicable documents or policies are also incorporated into these Terms of Use by reference (collectively, the “Terms”).
2. Eligibility and Account Registration
2.1 Eligibility and Access
Guests of the Platform’s landing page (“Unregistered Guests”) may view the Platform and see publicly available data. Guests seeking additional access (“Registered Users ”) may also register for an account (“Account”) and once they have gone through our authentication process, they will be able to request , search, curate, and analyze certain de-identified data provided by Institute and various third parties for research, pilot, evaluations, and advocacy purposes (the “Data”) within the Platform. You can be a Registered User only if:
(i) you have the authority to legally form a binding contract with us on behalf of your organization;
(ii) you have been granted permission by us; and
(iii) you agree to comply with these Terms and all applicable laws.
You must fulfill all the foregoing requirements to be a Registered User. Registered Users may also request additional access to certain Data and applications that contain restrictions on the Platform.
2.2 Creating an Account
By creating an Account, Registered Users agree to comply with these Terms. Registered Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their Account. Your affirmative act of accepting our Terms constitutes your electronic signature to these Terms and your consent to enter into agreements with us electronically. When you register for an Account, you also agree to provide accurate information for both yourself and/or your organization , including but not limited to your full name, job title, email address, state of residence, and organization name (“User Registration Information”) . You also must ensure that you and your organization’s information within the Platform are always accurate and up to date.
After you register for an Account, your Account and levels of access to Data may be approved, and such approvals may be withdrawn at any time, in our sole discretion with or without notification. You acknowledge that Account approval may be subject to certain identity verification and other authorization by Institute on an as-needed basis.
2.3 Account Obligations
Regarding their Account, all Registered Users must agree to:
(i) use the Data within the Platform environment solely for oral health care, medical care, and social research, evaluation, and advocacy, including dissemination of analytics to improve the oral health care system. This includes using oral health, medical, social, and related datasets and technologies to offer data-driven insights. You are further prohibited from using the Platform for any other purpose;
(ii) use the Data in accordance with required terms of third parties, as applicable;
(iii) use the Platform in accordance with commercially reasonable IT security best practices;
(iv) log out of the Platform when it is not in use;
(v) not leave their computer where the Platform can be accessed unattended;
(vi) accept all risks of unauthorized access to their Account information or any other information provided to the Institute;
(vii) be responsible for all activity linked to their Account, regardless of whether you authorized that activity;
(viii) not share their Account with anyone else;
(ix) not impersonate any person or entity when creating an Account; and
(x) inform the Institute immediately at privacy@carequest.org upon any unauthorized access of their Account or login credentials, or any other breach of security.
We reserve the right to impose audit, training, and contractual requirements for Registered Users who request and receive access to certain datasets with third-party restrictions on the Platform.
3. Prohibited Uses
You are strictly prohibited from:
(i) copying, modifying, or creating derivative works of the Platform, in whole or in part;
(ii) renting, leasing, lending, selling, licensing, sublicensing, assigning, distributing, publishing, transferring, or otherwise making available the Platform;
(iii) reverse engineering, disassembling, decompiling, decoding, adapting, or otherwise attempting to derive or gain access to any software component of the Platform, in whole or in part;
(iv) removing any proprietary notices from the Platform;
(v) using the Platform in any manner that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law;
(vi) attempting to re-identify individuals from the Data. All Data uploaded into the Platform has been de-identified in accordance with the requirements set forth in 45 CFR Section 164.514(b) of the HIPAA Privacy Rule;
(vii) capturing screenshots, downloading, or otherwise saving any Data or information from the Platform onto their own systems or devices. All Data access must occur within the Platform, and any attempt to extract or store Data externally constitutes a breach of these Terms;
(viii) using any scraper, crawler, spider, robot, or other automated means of any kind to access or copy Data on the Platform, deep-link to any feature or content on the Platform, or bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Platform.
(ix) circumvent, disable, or otherwise interfere with security-related features of the Platform, including features that prevent or restrict the use or copying of any Data or enforce limitations on the use of the Platform and/or the Data contained therein.
(x) upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Platform or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Platform.
(xi) upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“GIFs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “PCMs”).
4. Authorship and Publishing
You agree to comply with Institute’s Authorship and Publishing Guidelines , which Institute will provide to you if you indicate you are interested in publication in connection with use of the Data within the Platform. You must represent and describe Data accurately and include in any Publication an acknowledgement of the use of Institute Data and a disclaimer on behalf of Institute substantially equivalent to the following: “Research for this article is based upon data compiled and maintained by CareQuest Institute for Oral Health, Inc. [Author Name(s) is/are] solely responsible for the research and conclusions reflected in this article. CareQuest Institute is not responsible for the conduct of the research or for any of the opinions expressed in this article.” Institute does not guarantee the accuracy, completeness, or reliability of Data provided by a third party.
5. Aggregated Statistics
Notwithstanding anything to the contrary in this Agreement, Institute may monitor your use of the Platform and collect and compile data and information related to your use of the Platform that is used by Institute in an aggregate and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Platform (“Aggregated Statistics”). As between Institute and you, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by Institute. You acknowledge that Institute may compile Aggregated Statistics based on your activity in the Platform. You agree that Institute may:
(i) make Aggregated Statistics publicly available in compliance with applicable law; and
(ii) use Aggregated Statistics to the extent and in the manner permitted under applicable law; provided that such Aggregated Statistics do not identify you or your confidential information.
6. Intellectual Property
6.1 Access License
When you create an Account and agree to these Terms, we grant you a limited, non-transferable, non-exclusive, and non-sublicensable license to access and use the Platform in accordance with these Terms. We may revoke this license and your access to the Platform at any time, without cause or prior notice.
We strive to keep the Platform operational; however, technical issues or maintenance may cause temporary interruptions. We do not guarantee uninterrupted access and are not liable for any damages resulting from such interruptions.
6.2 Institute Intellectual Property
All rights in the Platform and related intellectual property (“Institute IP”) are reserved by the Institute. Institute IP includes:
(i) the Platform and its content, metadata, design, organization, methods, compilation, look and feel, source code, object code, and software (excluding licensed open-source components);
(ii) any intellectual property provided by the Institute to Registered Users;
(iii) Aggregated Statistics and any data or content derived from monitoring user access or use of the Platform; and
(iv) all improvements, modifications, feedback, feature requests, and derivative works created by the Institute.
6.3 Third-Party Intellectual Property
Some data, components, content, or services on the Platform may be owned or licensed by third parties (“Third-Party IP”). All rights in Third-Party IP remain with their respective owners. You agree not to use, reproduce, distribute, or create derivative works from Third-Party IP except as permitted by the applicable license or with prior written authorization from the Institute or the rights holder.
6.4 Restrictions on Use
You agree not to:
(i) copy, reproduce, sell, publish, distribute, share, display, sublicense, retransmit, or otherwise provide access to Institute IP or Third-Party IP without our written consent or as expressly authorized by these Terms;
(ii) modify, alter, or create derivative works of Institute IP or Third-Party IP; and
(iii) remove, alter, or obscure any copyright, trademark, or proprietary rights notices on the Platform.
6.5 Trademarks
The Institute and Platform logos, product and service names, slogans, and other marks displayed on the Platform are trademarks of the Institute or third parties. They may not be copied, imitated, or used without prior written permission. The Platform’s look and feel—including icons, user interface elements, graphics, and scripts—may not be copied or imitated without prior written permission.
6.6 Enforcement
Any violation of Institute IP or Third-Party IP rights may constitute infringement and could subject you to civil and/or criminal penalties.
7. Termination and Suspension
7.1 Termination By You
You may terminate your Account at any time by stopping your use of your Account and informing us that you wish to terminate your Account.
7.2 Termination By Us
We reserve the right, at any time, to modify, suspend, or terminate your access to the Platform and your Account at any time, with or without notice, and with or without any cause or reason. You also agree to cooperate with our reasonable investigation of outages, security issues, and any suspected breach of these Terms.
8. Disclaimers and Limitation of Liability
8.1 General
Other than as set out in these Terms, the Platform and the Data is provided to you on an “as-is” and “as available” basis without warranties from Institute of any kind, either express or implied.
INSTITUTE EXPRESSLY DISCLAIMS ALL REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS OR WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. INSTITUTE DOES NOT WARRANT THAT: (A) THE DATA ARE ACCURATE, COMPLETE, RELIABLE OR CORRECT IN THEIR POSTED FORMS; (B) THE PLATFORM WILL BE SECURE; (C) THE PLATFORM WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (E) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (F) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE PLATFORM AND ANY CONTENT IS SOLELY AT YOUR OWN RISK.
8.2 AI-Powered Analysis and Insights
The Platform may provide Users with access to artificial intelligence-powered conversational interfaces and data visualization tools (“AI Tools”) designed to facilitate interaction with large datasets and research content, and to generate analysis, executive synthesis, key insights, and key takeaways (“AI-Generated Content”).
Institute makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of any AI-Generated Content. All analysis, insights, results, executive synthesis, key insights, and key takeaways produced by the AI Tools are for informational purposes only and are not guaranteed to be accurate, complete, or free from error.
Users acknowledge and agree that any reliance on AI-Generated Content is at their sole risk. Institute expressly disclaims any and all liability for any decisions, actions, or outcomes resulting from reliance on AI-Generated Content, including but not limited to business, clinical, research, or policy decisions.
Institute does not warrant that the AI Tools or AI-Generated Content will meet Users’ requirements or expectations, nor that any errors or omissions will be corrected. Users are responsible for independently verifying any insights or results generated by the Platform before relying on them for any purpose.
AI Tools will not use any User Registration Information.
9. Indemnification
You agree to defend, indemnify, and to hold harmless Institute, its employees, directors, officers, agents, contractors, advisors, consultants, or any Institute affiliate or subsidiary, either directly or indirectly, from any and all liabilities, penalties, claims, causes of action, and demands brought by third parties (including the costs, expenses and legal fees on account thereof) arising, resulting from or relating to:
(i) your breach of these Terms;
(ii) your infringement of Third-Party IP;
(iii) your infringement of applicable law; and
(iv) your breach of a representation or warranty made by you to us, either in these Terms, the Privacy Policy, or otherwise.
Your agreement to defend, to indemnify, and to hold Institute harmless applies whether a claim against Institute arises out of contract or tort (including strict liability), and regardless of the form of action.
10. Governing Law and Jurisdiction
These Terms shall be governed by the laws of Massachusetts. Any disputes arising from use of the platform shall be resolved in the courts of Massachusetts.
11. Additional Provisions
(i) We may partner with third parties to provide services in connection with the Platform. You may be directed to third-party websites and see the third-party logos on these websites. The Institute does not control how these third-party websites use your information. Users of these websites should review the terms and conditions and privacy policies of any third-party websites and be aware of who is collecting personal information and what privacy policies apply before providing personal information.
(ii) To the extent permitted by law, you hereby waive your right to participate in any class action lawsuits against us, our contractors, employees, shareholders, successors, assigns and directors. To the extent permitted by law, you further waive any right to a trial by jury, should such a right exist, in relation to any legal dispute connected to or in any way arising out of these Terms;
(iii) Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision;
(iv) You acknowledge and agree that a breach of any of the sections of these Terms may cause serious and irreparable harm to us which could not be compensated adequately by monetary damages, and that we may enforce these Terms by injunction or specific performance upon application to a court of competent jurisdiction without proof of actual damage, and despite those damages may be readily quantifiable. You agree that you will not plead sufficiency of damages as a defense in the proceeding for injunctive relief. The remedies provided by this section are in addition to, and not a substitute for, any other remedies for breach to which we would be entitled; and
(v) The content, products, and services offered on the Platform are intended to advance oral health care, medical care, social research, advocacy, and innovation. Nothing on the Platform should be considered, or used as a substitute for, oral health or medical advice, diagnosis, or treatment. The Platform and its services do not constitute the practice of any oral health, medical, or other professional health care advice, diagnosis, or treatment. None of the products or services offered through this Platform represents or warrants that any particular service or product is safe, appropriate, or effective .
These Terms are effective as of 1/22/2026. If we decide to make any material change to these Terms, we will post those changes to the Terms and include the effective date of such changes.
